Conditions of execution of orders

The information is a summary of the basic contractual provisions contained in the Distribution Agreement of Hitze brand trading partners, owned by Stalko sp. z o.o. sp.k.

1. The ZS (Sales Order) document is a confirmation of order placement and acceptance for execution by Stalko sp. z o.o. sp.k. - hereinafter referred to as "Manufacturer".
2. The distributor is obliged to pay the selling price within the payment period specified in the VAT invoice issued on the date of this order.
3. If it is found that a Distributor is in arrears with the payment of the amounts due under other VAT invoices, the Manufacturer shall have the right to withhold the delivery of orders until the payment of the amount due is made, or to demand from the Distributor a prepayment of 100% of the sales price for subsequent orders placed.
4. Cancellation of an order accepted for execution by the Manufacturer is possible only in exceptional situations, after prior written arrangement of cancellation conditions with the Manufacturer; however, the Manufacturer reserves the right to charge the Distributor with the actual costs which have arisen up to the moment of cancellation -no more than the value of the Order.
5. The order completion date is determined each time individually and given by the Manufacturer by e-mail.

1. The document (PF -pro-forma invoice) is a confirmation of placing an order with Stalko sp. z o.o. sp.k. - hereinafter referred to as "Manufacturer".
2. The distributor is obliged to pay the selling price stated on this document together with the due tax within 30 days. After this period the order is automatically cancelled by the Manufacturer.
3. The order is accepted for execution as soon as the payment for the order is confirmed in the Manufacturer's bank account.
4. In the event that the Distributor is in arrears with payment of any amounts due resulting from VAT invoices issued by the Manufacturer, the Manufacturer has the right to withhold further deliveries of orders until the payment is made
5. Cancellation of an order accepted for execution by the Manufacturer is possible only in exceptional situations, after prior written arrangement of cancellation conditions with the Manufacturer; however, the Manufacturer reserves the right to charge the Distributor with the actual costs which have arisen up to the moment of cancellation -no more than the value of the Order.

3. If it is found that a Distributor is in arrears with the payment of the amounts due under other VAT invoices, the Manufacturer shall have the right to withhold the delivery of orders until the payment of the amount due is made, or to demand from the Distributor a prepayment of 100% of the sales price for subsequent orders placed.
